Is there a tool to convert Checkpoint policy to PIX rules set?

Not sure why Check Point / CPUG would make such a utility. :^) You might want to check with Cisco instead.

Its 2tier firewall thingy, both firewall cannot be from the same source...

Well odumper can go PIX->CHKP so it might do the reverse as well.

If you need to go with 2 firewalls you should use a different type (pix is a packet filter as well). IMHO Sidewinder is a much better chose than PIX
