If you are doing this off-line, then you need to upgrade your licenses manauly in usercenter. First I woud download the existing licenses and store them, so when your FP3 system explodes in the middle of you working on the new boxes you still have the licenses (Yes this has happend to me).

export/import works very well today. Read the upgrade guide it walks you right through the whole process.
